AVIVA NDB Finance Lanka Private Limited (ANFL), the direct majority shareholder of AVIVA NDB Insurance PLC (the Company), holding 87.27% of the Company's issued shares, has communicated to the Company, that Aviva International Holdings Limited (AIH UK), has transferred the entirety of its shares in ANFL to Aviva Asia Holdings Private Limited (Aviva Asia).

Aviva Asia is a wholly owned subsidiary of AIH UK. It is Aviva's new Asian holding Company incorporated on 01st October 2010 and has its registered office in Singapore.

This transaction of transferring the issued shares of ANFL to Aviva Asia is effective 01st December 2011 and is pursuant to and forms a part of the ongoing internal reorganization of the legal structures of AVIVA Group's businesses in the Asia Pacific Region. As a result, Aviva Asia now holds 58.44% of the issued shares of ANFL.

This change being a part of the internal reorganization above mentioned, does not result in any changes to the overall direct share holding or the Board structure of AVIVA NDB Insurance PLC. As such, this disclosure is only to serve the purpose of notification that Aviva Asia, the wholly owned subsidiary of AIH UK, is now an indirect shareholder of AVIVA NDB Insurance PLC.
